Service Contractor

The service contractor is a visitor or user of the website, a legal or natural person who initiates contact and/or inquiry for a specific service or information provided by the Service Provider on the website. Contact and/or inquiry can be made through available contact forms on the website, as well as through publicly published and available contact information such as email address, phone, mail, and fax. The service contractor can represent a B2C customer or a B2B business partner.

Service Provider

The service provider is Rudan d.o.o., the owner and regulator of the Rudan brand. If a purchase agreement is reached, the service contractor pays the agreed parameters of the service at the defined price through a transaction account either in advance or upon completion of the service term, or according to exclusively agreed parameters between the parties of the Service Provider and the Service Contractor.

The service provider also collaborates with various cooperators and distributors and will, if necessary, direct potential buyers to them based on their location preferences. For potential business partners, the service provider will take all necessary steps to identify common goals and needs in order to establish a business collaboration.

General Terms

The provisions of the Consumer Protection Act (Official Gazette 41/2014), Chapter III – Conclusion of Contracts Outside Business Premises and Distance Contracts, from Article 57 to Article 79, apply to the terms of business.

Images and video footage sourced from these platforms, along with their original authors and third parties depicted in them, do not represent or in any way relate to Rudan d.o.o. and the services provided by the Service Provider. They are used and implemented according to the rules of the internet portals from which they were sourced, whose nature of operation is to provide images and video footage for free use in private and commercial purposes.

The Service Provider reserves the right to errors in the description and images of products.

In case of technical difficulties while using the website, the Service Provider will make every effort to resolve, repair, and restore the functionality and performance of the website optimally and promptly.

Energy Sector Operations

The service provider determines that prices for services will be formed in accordance with a previously accepted offer. For services and tasks not covered by the offer, but which the company will perform for the service contractor based on a written request from the service contractor, prices will be separately negotiated for each individual task.

The service provider may issue an electronic invoice with a specification of services and an indication of the due date by which the service contractor is obligated to settle the invoice, in addition to the traditional invoice.

Establishment of Contractual Relationship

The service provider provides an Informative Offer with all information about the service and marked prices expressed in euros including VAT. The contractual relationship is established at the moment of accepting the offer. Upon the establishment of the contractual relationship, the terms specifically and individually agreed upon in the contract are applied.

When providing the offer or signing the contract, the service contractor is informed of the terms of cooperation and business, and it is assumed that the service contractor fully understands and accepts them.

Regarding the establishment of business cooperation with service contractors who wish to become partners of various levels, such as distributors, separate and distinct contract and cooperation documents with different parameters and conditions will be established and mutually accepted by the service provider and the service contractor.

In addition to contractual relationships established by accepting the offer, the service provider may have contractual relationships with the service contractor based on concluded contracts, including contracts concluded without a previously provided offer or contracts in which the offer will be an integral part.

Obligations of the Service Contractor

The service contractor undertakes, for the entire duration of cooperation with the service provider, both during the negotiation phase and the phase of making offers, contracts, and further continuation of the contractual relationship, to ensure the proper functioning of their email and telephone number. This is because correspondence will primarily take place via email messages and telephone calls. The service contractor is obligated to inform the service provider in writing of any changes to personal or identification data specified in the offer or contract regarding status, identity, and headquarters immediately, and no later than within 7 days from the date of the change. For the entire duration of the cooperation, i.e., during negotiations to establish a contractual relationship, as well as for the entire duration of the contractual relationship, the service contractor must designate an authorized person to represent the service contractor in relation to the services requested from the service provider. The service contractor undertakes to cooperate with the service provider to enable the service provider to perform the requested and agreed services on time. This entails providing all necessary materials, documents, data, and other items to the service provider so that the service provider can promptly commence the implementation of the contracted service and project. Additionally, the service contractor must provide the service provider with access to all necessary information or systems required for the execution of the contracted service and project.

Responsibility of the Service Provider

The service provider undertakes to provide services professionally, with quality and conscientiously, in accordance with professional standards and the care of a prudent businessperson. The service provider offers its services to the service contractor in accordance with the provisions of applicable regulations in the Republic of Croatia, or in accordance with the obligations from the contractual relationship. The contractual parties shall not be liable for the non-performance of any obligation under the contractual relationship if the impossibility of performance results from a force majeure event – an event beyond the control of the contractual parties and independent of their will, which directly affects the performance of the obligation under the Contract and whose occurrence is not the result of negligence of any contractual party. The contractual party affected by a force majeure event shall promptly, and no later than within 48 hours, notify the other contractual party in writing, indicating the nature of the force majeure event and providing appropriate evidence of its existence. The deadline for the completion of a specific project is determined by the informative offer or the contractual relationship, as well as the circumstances for extending the deadline.

Termination of the Contractual Relationship

The contractual relationship is typically established for a specified period of time, with the duration defined by the offer that, upon acceptance, leads to the establishment of the contractual relationship, or by the contract itself. The service contractor and the service provider have the right to terminate the contractual relationship at any time by sending a written notice of termination by registered mail to the valid address of the other party. In this case, the notice period is 30 days from the date of delivery of the notice of termination of the contractual relationship. In the event of termination of the contractual relationship by the service contractor before the expiration of the initial term of the contractual relationship defined in the offer or contract, or if the service provider terminates the contractual relationship at any time because the service contractor breaches the obligations assumed by entering into the contractual relationship, the service contractor is obliged to pay the service provider a contractual penalty consisting of the difference between the full price of the contracted services determined by the service provider’s price list and the price paid by the service contractor to the service provider based on the contractual relationship, from the date of the contract to the date of termination of the contractual relationship. The service provider will issue an invoice to the service contractor for that amount, which the service contractor undertakes to:
  • If the service contractor fails to provide/enable the service provider with all necessary documentation or access to all necessary information that prevents the service provider from fulfilling its obligations or causes delays by the service provider in fulfilling its obligations;
  • If the service contractor consistently delays in settling the service provider’s invoices in relation to the obligation to pay the invoices within the specified deadlines;
  • If bankruptcy or a similar proceeding is initiated against the service contractor;
  • If the service contractor breaches any of its obligations specified in these terms and conditions, the offer, or the contract, which could result in damages to the service provider;
  • If the service contractor takes actions against the service provider that result in harm to the service provider and damage the service provider’s business reputation.
If the service contractor’s unacceptable or unauthorized use of the service provider’s services causes damage to the service provider, other service contractors of the service provider, or third parties, the service contractor will be liable according to applicable laws or a court’s final decision.

On the other hand, Rudan d.o.o. as a service provider in the tourism sector, for each of its facilities and accommodations, has specific obligations, descriptions, and categorizations of services, as well as rights to changes and cancellations of reservations and accommodations due to breaches of house rules and behavior policies.

The collection of personal data depends on: the type of service provided, users and clients, the buyer’s intention to use the services, the type of contract concluded with clients, as well as the intention of the service requester to exercise their rights based on legal and regulatory provisions on the protection of personal data.

The service user is obliged to cooperate with the service provider in good faith to address the causes of any complaints. A service user who leaves the premises and independently finds alternative accommodation due to dissatisfaction with the condition of the reserved accommodation, without giving the service provider the opportunity to address the cause of their dissatisfaction, has no right to demand a refund or file a lawsuit for damages.

The service provider cannot be held responsible for any climate conditions, cleanliness, sea temperatures, or any similar situations and events that may cause dissatisfaction to the service recipient but do not directly concern the quality of the reserved accommodation unit (e.g., bad weather, poorly maintained beaches, overcrowding, theft, or property damage, etc.).

Any disputes arising during the performance of services between the parties, including disputes concerning the validity, violation, or termination thereof, as well as the legal effects arising therefrom, shall primarily be attempted to be resolved amicably and by mutual agreement within 30 (thirty) days. Otherwise, the parties agree to the jurisdiction of the competent court in Pula.
